How Real-Time Investing Works
Real-Time Investing, or RTI, allows eligible investors to participate in an active Equiti syndicate in real time. Depending on the syndicate phase, an investor may reserve interest, submit an investment request, or join the waitlist.
Participation is subject to available capacity, investor eligibility, completion and approval of required documentation, payment requirements, final allocation, and the terms of the offering documents for the relevant syndicate, the “Offering Documents.”
Equiti Syndicates
Each syndicate is established as a limited partnership managed by Equiti Capital for the purpose of acquiring a specific residential property. Investors accepted into a syndicate acquire units in the limited partnership and participate in the syndicate in proportion to the number of units they hold, subject to the Offering Documents.
Each syndicate has its own investment terms, including minimum and maximum unit limits, investment amount per unit, administration fee, required documentation, payment requirements, investor limit, and expected exit timeline.
A reservation records preliminary interest only. As part of the reservation, the investor selects the number of units they may wish to acquire, within the minimum and maximum limits set for that syndicate. The selected number of units is indicative only and does not create an allocation, investment obligation, or investment priority.
When a syndicate is open for investment, eligible investors may submit an investment request by confirming the number of units they wish to acquire. The selected units must fall within the minimum and maximum limits set for that syndicate. The request then proceeds through the required eligibility, documentation, payment, and allocation process.
Once the syndicate closes for investment, accepted participation can no longer be withdrawn through the RTI module.
Minimum and Maximum Units
Each syndicate has a minimum and maximum number of units that an investor may select during the reserve or open investment phase.
The minimum is the lowest permitted participation amount for that syndicate. The maximum is the highest permitted participation amount for one investor.
During waitlist, the investor selects the minimum and maximum number of units they are willing to accept. The waitlist minimum may differ from the standard investment minimum.
Investor Limit
Each syndicate has a maximum number of participating investors.
If the investor limit is reached, further participation may be restricted or directed to the waitlist, depending on the syndicate phase and available capacity.
Trust Account and Administration Fee
Investor funds, including the capital contribution and the one-time administration fee, are paid directly to a law firm’s solicitor trust account and held pending completion of the investment transaction.
The administration fee is collected for syndicate-related expenses. Equiti Capital does not receive or retain any portion of the administration fee as compensation for syndicate administration.
Funds may be released only in accordance with the Offering Documents, including to complete the property acquisition, pay approved syndicate expenses, or make distributions to investors.
Any unused administration fee is returned to investors when the syndicate is liquidated, subject to the Offering Documents.
First Come, First Served
RTI uses a first-come, first-served priority rule.
Priority is not established simply by clicking reserve, invest, or waitlist. For investment requests and waitlist participation, priority is based on the applicable submission priority timestamp, which is tied to completion and approval of the required documentation.
Available units are allocated in priority order, subject to the syndicate’s unit limits, investor limit, approved documentation, eligibility requirements, payment completion, and the Offering Documents.
Reserve Phase
During the reserve phase, eligible investors may reserve interest in a syndicate.
A reservation records preliminary interest only. It does not guarantee participation, create a final allocation, or establish investment priority.
If the reservation target is reached, the syndicate moves to the open investment phase. If the reservation target is not reached within the reserve period, the syndicate closes and reservations lapse.
Investors may withdraw a reservation during the reserve phase and while the syndicate remains open for investment, subject to the Offering Documents.
Open Phase
When a syndicate opens for investment, eligible investors may submit an investment request by selecting the number of units they wish to acquire. Before submission, the RTI module displays the principal investment amount, administration fee, and total payable.
Open investment submissions require the applicable documentation and eligibility requirements to be satisfied. If those requirements are not complete, the investor must complete them before proceeding.
Once the syndicate reaches its target allocation, the syndicate moves to waitlist.
Waitlist
If the syndicate has reached its target allocation, eligible investors may join the waitlist.
Waitlisted investors select the minimum and maximum number of units they are willing to accept. This allows available capacity to be allocated efficiently if another investor withdraws, fails to complete required documentation, fails to complete payment within the required timeframe, or is otherwise disqualified.
A waitlist position does not guarantee allocation. Waitlist priority follows the same first-come, first-served rule and is based on the applicable submission priority timestamp.
If capacity becomes available, the system identifies eligible waitlisted investors in priority order.
Closing and Final Allocation
Once the syndicate closes for investment, accepted participation can no longer be withdrawn through the RTI module.
Final allocation is completed after closing. Allocation is filled in priority order up to the target allocation amount. If an investor does not complete the required steps within the required timeframe, their allocation is released and made available to another eligible investor.
